Terms of Service

1. Acceptance of Terms
By creating an account or using Chit Chat (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these terms from time to time. Continued use of Chit Chat after changes are posted constitutes acceptance of the updated terms. We will notify you of material changes via email or in-app notification.
2. Eligibility
You must be at least 13 years of age to use Chit Chat. By using the Service you represent that you meet this requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these terms on your behalf.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to: • Provide accurate and complete information when creating your account • Keep your login credentials secure and not share them with others • Notify us immediately of any unauthorised use of your account • Not create multiple accounts to evade a suspension or ban We reserve the right to suspend or terminate accounts that violate these terms.
4. User Content
You retain ownership of all content you post to Chit Chat ("User Content"). By posting, you grant Chit Chat a non-exclusive, worldwide, royalty-free, sublicensable licence to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the Service. You represent and warrant that: • You own or have the right to share the content you post • Your content does not infringe any third-party intellectual property rights • Your content does not violate any applicable law We reserve the right to remove any User Content that violates these terms without notice.
5. Prohibited Conduct
You agree not to: • Post content that is abusive, harassing, defamatory, obscene, or otherwise objectionable • Impersonate any person or entity or misrepresent your affiliation • Post spam, unsolicited advertising, or chain messages • Attempt to gain unauthorised access to any part of the Service or its infrastructure • Use automated tools (bots, scrapers) to access or collect data from the Service without written consent • Post content that infringes intellectual property rights • Post content depicting minors in a sexual or harmful context • Use the Service for any unlawful purpose
6. Professional Accounts
Professional and Business tier accounts are subject to additional verification requirements. Verified status indicates that we have made reasonable efforts to confirm a user's professional credentials; it is not a guarantee of expertise or quality. We reserve the right to revoke verification at any time if we determine that the information provided was inaccurate or that the account no longer meets our standards.
7. Subscriptions and Billing
Paid subscriptions (Pro and Business) are billed monthly or annually as selected at checkout. Subscriptions renew automatically unless cancelled before the next billing date. Refunds are not provided for partial billing periods. You may cancel your subscription at any time, and you will retain access to paid features until the end of the current billing period. We reserve the right to change pricing with 30 days' notice to existing subscribers.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Restaurant information, dish reviews, and professional notes are user-generated and we do not verify their accuracy. Chit Chat is not responsible for decisions made based on content on the platform.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Chit Chat and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Service. Our total liability to you for any claims arising from these terms shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 CAD, whichever is greater.
10. Governing Law
These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Ontario, Canada.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.
